We are a nonprofit education and research center situated on acres of farmland, forest, and coast in Freeport, Maine.

Our yearround programs include farmer training, field trips, workshops, weekend events, and more. This is an exciting and important time for our organization and our mission.

The work we do at WNC will have regional and national significance as we continue to conduct research, train farmers, and support the efforts of regenerative farming to combat climate change. We are seeking an individual to serve as the Organic Dairy and Livestock Manager DLM , responsible for managing and leading our diversified farming operations and organic dairy farmer training program. The centerpiece of our farm operation is a cow organic dairy and the associated pasture and hay land under management.

In addition, we have a set of diversified livestock enterprises producing eggs and pork, as well as pasture raised chicken and lamb. WNC is a unique place with a significant history. One of its biggest transformations came 6 years ago when we transitioned operations to focus on organic dairy production and training the next generation of farmers.

Part of this transformation included becoming the first Dairy Grazing Apprenticeship farm in New England. The DGA is a two-year residential program training candidates to become organic dairy farmers. Managing the farm at WNC incorporates a host of aspects that call for skills and ability in addition to those required to effectively manage a farm.

Ideal candidates will be comfortable working with and alongside a team of people and finding unique ways to enrich the experiences of apprentices while teaching the skills and knowledge necessary to run a modern, organic, pasture-based dairy and livestock farm. We are in the process of creating a world class training program that will play a role in shaping the next generation of farmers in New England and beyond.

MBOs usually require external funding from banks or private equity investors, who contribute to the company group and are entitled to a share of the profits if the company is profitable. A management buy-out MBO is the acquisition of a business by its core management, usually with the financial support of a lender or private equity fund. MBOs vary in size but all MBOs involve the management team taking an equity ie, shares stake in the business. In effect, MBOs turn the management of a company into its shareholders. Common practice is for the management team to fund the buy-out with a portion of their own capital to ensure they are incentivised to grow the company.

A management buy-out MBO can often be the ideal way for a business owner to realise the value that they have built up in his company over the years. This article assumes that the business is run in limited company form, because this is how the majority of such businesses are set up in practice, and also the set up that can give rise to the most problems.

Assuming that the decision has been made to sell the company to its current non-shareholding senior management, the question of how the MBO should be structured will tend to be driven by the question of how the managers are going to finance the purchase. Where the issues arise is with the situation of the vendor s. In its simplest form, the holding company purchases the shares in the target company and agrees to pay the outgoing vendor an amount which it hopes to be able to lay its hands on at some time in the future.

The big problem with this simple scenario for the vendor, of course, is that the vendor still needs to pay the CGT on the sale, on 31 January following the tax year in which the contract was signed, regardless of whether he has had any actual cash by that point, or sufficient cash to pay the tax. Finally, vendors will often be concerned, of course, with the ongoing health of the business when they are no longer involved themselves in running it.
