In the world of business corporations where directors are paid, there is often a surplus of qualified directors to fill board vacancies. In the not-for-profit world where there is no remuneration, there has been a history of taking “warm bodies” to fill vacancies. While the “warm body” mentality is no longer as prevalent and while many NFPs have adopted best practices in governance, there is still a significant gap in how directors of NFPs understand their roles. Whether it’s how the corporation is structured, whether it’s the board’s scope of powers, duties, and responsibilities, or whether it’s the level of diligence and engagement required to be effective, we’ll cover five gaps that tend to haunt non-profits over and over again.

SPEAKER BIO:

Linda Wood Edwards owns LUE-42 Enterprises, a consultancy formed in 1999 that focuses on board governance in the third sector. She is a Certified Association Executive and a Fellow of the Chartered Governance Institute of Canada. She holds a Bachelor of Administration degree and certificates in human resources management and program evaluation. Linda consults on board governance to organizations across Canada and serves as Corporate Secretary to several of them. Linda is an exam reviewer and DEAP facilitator in governance and strategy for the CGIC.

Linda is for the third time serving as a public member on the Council of a regulated profession in Alberta. She is also a director with the Canterbury Foundation, a seniors housing community in Edmonton. Linda has considerable board experience, including as Chair of the Community Services Advisory Board (City of Edmonton) and Women Building Futures. Linda is the former Executive Director and Registrar of a professional association and the current Executive Director equivalent for the Canadian Institute of Plumbing & Heating in Edmonton. Linda is the author of two books (board-related) and 14 plays (decidedly not board-related) as well as a popular monthly e-zine with a focus on governance.
